Terms of Service

These Terms are a binding contract between you (the customer organisation and its authorised users) and [GG Legal Entity Ltd] ("GG", "we", "us") governing your access to and use of the GG service, websites and APIs (the "Service"). By creating an account or using the Service, you agree to these Terms.

1. Accounts & authority

  • You must provide accurate information and keep your credentials secure; you are responsible for activity under your account.
  • The person who accepts these Terms warrants they are authorised to bind their organisation. The organisation (the “Customer”) is responsible for its users and for all data placed in the Service.
  • The Service is for business use by people aged 18 or over. It is not a consumer product.

2. Plans, trials & payment

  • Paid plans are billed per seat as described on our pricing page or your order. Fees are stated exclusive of taxes, which you are responsible for.
  • Free trials run for the stated period and convert to a paid plan only if you choose one; we may modify or end trials.
  • Subscriptions renew automatically for the same term unless cancelled before renewal. Payments are handled by our payment processor; you authorise recurring charges.
  • Except where required by law, fees are non-refundable and we do not refund partial periods. We may change pricing on renewal with prior notice.
  • Usage allowances (e.g. AI summaries, enrichments) are metered per your plan; overages may be limited, queued or chargeable as described in-product.

3. Right to use the Service

Subject to these Terms and payment of fees, we grant the Customer a non-exclusive, non-transferable, non-sublicensable right to access and use the Service during the subscription term for its internal business purposes. We reserve all rights not expressly granted.

4. Acceptable use

Your use must comply with our Acceptable Use Policy and all applicable laws — including data-protection, anti-spam (e.g. CAN-SPAM, GDPR/PECR consent rules) and export laws. You are responsible for obtaining any consents needed to capture and process the communications and contacts you load into the Service.

5. Your data & our data-protection role

  • You own your data. As between the parties, the Customer owns all data it submits (“Customer Data”). You grant us the limited right to host and process it to provide and secure the Service.
  • For personal data within Customer Data we act as your processor under the Data Processing Addendum, which is incorporated into these Terms.
  • We may use aggregated, de-identified data that does not identify you or any individual to operate and improve the Service.

6. AI-generated output

The Service uses AI to produce summaries, classifications and suggestions. These outputs may be inaccurate or incomplete; they are provided as drafts to assist a human, not as advice or a substitute for your own judgement. You are responsible for reviewing AI output before relying on or acting on it. We make no warranty as to the accuracy of AI-generated content.

7. Intellectual property

We and our licensors own the Service, its software, design and trademarks. You may not copy, modify, reverse-engineer, resell or create derivative works of the Service except as the law allows. Feedback you give us may be used freely without obligation to you.

8. Third-party services

The Service integrates with third parties (e.g. email, messaging, payment and AI providers). Your use of those is governed by their terms, and we are not responsible for them. See our sub-processor list.

9. Availability & support

We aim for high availability but do not guarantee uninterrupted access. We may perform maintenance, and may modify or discontinue features with reasonable notice for material changes. Support is provided per your plan via hello@taskgg.com.

10. Disclaimers

Except as expressly stated and to the maximum extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. Nothing in these Terms excludes liability that cannot lawfully be excluded (e.g. for death or personal injury caused by negligence, or fraud).

11. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Subject to the preceding sentence, each party’s total aggregate liability arising out of these Terms is limited to the fees paid by the Customer for the Service in the 12 months before the event giving rise to the claim.

12. Indemnity

The Customer will defend and indemnify us against claims arising from Customer Data or from use of the Service in breach of these Terms or applicable law, including claims that Customer Data infringes a third party’s rights or was processed without a lawful basis.

13. Term, suspension & termination

  • These Terms run for your subscription term and any renewals. Either party may terminate for material breach not cured within 30 days of notice.
  • We may suspend access immediately for non-payment, security risk, or a serious or repeated breach of the Acceptable Use Policy.
  • On termination your right to use the Service ends. You may export Customer Data for a limited window after termination, after which we delete it per the DPA.

14. Governing law & disputes

These Terms are governed by the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the courts of England and Wales, without prejudice to mandatory consumer-protection rights you may have in your country of residence.

15. General

  • We may update these Terms; material changes take effect on notice (e.g. by email or in-product) and continued use means acceptance.
  • If a provision is unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver.
  • You may not assign these Terms without our consent; we may assign them to an affiliate or acquirer.
